Terms and Conditions of Service
1. Introduction
Welcome to Kaili Woop LLC, an independent art and design company ("Company," "we," "our," or "us"). By accessing or using our services, you agree to comply with and be bound by these Terms and Conditions of Service ("Terms"). Please read these Terms carefully before accessing or using our services. If you do not agree to these Terms, you may not use our services.
2. Scope of Services
Kaili Woop LLC provides art and design services, including but not limited to original art work, wearable art, and commissioned work (the "Services"). The Services are provided according to the specifications agreed upon with the client.
3. Payment
Payment for our Services is required as per the agreed terms and conditions outlined in the invoice provided. Failure to make timely payments may result in the suspension of Services or termination of the project.
4. Intellectual Property
All original artwork and wearables created by Kaili Woop LLC, including but not limited to illustrations, graphics, and wearable designs ("Original Works"), are the exclusive intellectual property of Kaili Woop LLC. These Original Works are protected by copyright laws and international treaties. You are granted a limited, non-exclusive, non-transferable license to use the Original Works solely for personal, non-commercial purposes. This means you may not use, reproduce, distribute, modify, or create derivative works from the Original Works for commercial purposes without the express written consent of Kaili Woop LLC.
For commissioned work, once the customer has made full payment and both parties have come to an agreement regarding the licensing terms for commercial purposes, the commissioned work becomes the property of the customer, subject to the terms of the agreed-upon license. The specific terms of the license, including any restrictions on usage, will be outlined in the agreement between the customer and Kaili Woop LLC. Any usage of commissioned work outside the scope of the agreed license is strictly prohibited and may result in legal action.
Kaili Woop LLC reserves the right to showcase and promote commissioned work, including but not limited to displaying it on the company's website, social media channels, and promotional materials, unless otherwise agreed upon in the licensing agreement.
By commissioning Kaili Woop LLC for custom artwork, you acknowledge and agree to abide by these intellectual property terms. Failure to comply with these terms may result in legal action and the revocation of any licenses granted for the use of the Original Works or commissioned work.
5. Confidentiality
Any information shared between the client and Kaili Woop LLC will be treated as confidential and will not be disclosed to third parties without the consent of the client, except as required by law.
6. Revisions and Modifications
We are committed to client satisfaction. Revisions and modifications to the artwork and designs will be accommodated as per the project agreement. Excessive revisions or modifications may incur additional charges.
7. Termination
Either party may terminate the project and Services provided by Kaili Woop LLC with written notice if the other party breaches any material term or condition of these Terms and fails to remedy such breach within 14 days after receipt of written notice thereof.
8. Limitation of Liability
Kaili Woop LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from (a) your use or inability to use the Services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from our Services; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party; or (e) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Services.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of the state of New York, without regard to its conflict of law principles.
